These Terms of Service ("Terms") govern your access to and use of the website germinate.ai operated by Germinate.ai, Inc. ("Germinate," "we," or "us"), including any content, functionality, and services offered on it, and any successor URL or subdomain (collectively, the "Website").

Please read these Terms carefully before using the Website. By using the Website, you accept and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Website.

2. These Terms Cover the Website — Not the Germinate Platform

These Terms apply to this marketing website only. Use of the Germinate platform, including any AI agents, integrations, or services we build, deploy, or manage for clients (the "Platform"), is governed by a signed Master Services Agreement or other written agreement between Germinate and the client (the "MSA"). If there is any conflict between these Terms and a signed agreement, the signed agreement controls. Client logins at app.germinate.ai are governed by the applicable MSA, not these Terms.

3. Changes to These Terms and the Website

We may update the Website and these Terms from time to time. Changes are effective when posted, and the "Last Updated" date above reflects the current version. We will announce material changes in a prominent way. Your continued use of the Website after changes are posted means you accept them. We may modify, suspend, or withdraw the Website or any part of it at any time, and we will not be liable if all or any part of the Website is unavailable.

4. Intellectual Property

The Website and its contents — including all text, graphics, logos, images, case studies, software, and the site's look and feel — are owned by Germinate or its licensors and are protected by United States and international copyright, trademark, and other intellectual property laws.

You may view and use the Website for your internal business or personal purposes. You may not: (a) copy, modify, republish, or create derivative works from Website content except as these Terms permit; (b) scrape, harvest, or systematically extract data from the Website, including for training machine-learning models; (c) resell or redistribute Website content; (d) interfere with the Website's operation or security; or (e) access the Website to build a competing product or for benchmarking. All rights not expressly granted are reserved.

5. Trademarks

"Germinate," "Germinate.ai," and related names, logos, and slogans are trademarks of Germinate.ai, Inc. or its affiliates. You may not use them without our prior written permission. All other marks on the Website belong to their respective owners.

6. Acceptable Use

You agree to use the Website only for lawful purposes. You may not attempt to gain unauthorized access to the Website or related systems, introduce malicious code, probe or test vulnerabilities without authorization, impersonate Germinate or any person, or use the Website in any way that violates applicable law.

7. Feedback

If you send us feedback, suggestions, or ideas about the Website or our services, you grant us a non-exclusive, royalty-free, worldwide, perpetual license to use and incorporate that feedback without obligation to you. This applies to feedback only — it does not apply to any client data processed on the Platform, which remains governed by the applicable MSA.

These are illustrative of specific engagements; results vary based on each business's data, systems, and circumstances, and nothing on the Website is a guarantee of any particular outcome. Nothing on the Website constitutes professional, legal, or financial advice.

THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW. FOR CLARITY, LIABILITY RELATING TO THE PLATFORM IS GOVERNED BY THE APPLICABLE MSA.

12. Indemnification

You agree to indemnify and hold harmless Germinate and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising out of your violation of these Terms or your misuse of the Website.

13. Geographic Restrictions

Germinate is based in the United States and the Website is operated from the United States. We make no claim that the Website is appropriate or available outside the United States. If you access the Website from elsewhere, you do so on your own initiative and are responsible for compliance with local laws. Information about international data transfers is in our Privacy Policy.

14. Governing Law and Jurisdiction

These Terms, and any dispute or claim arising out of or related to them, are governed by the internal laws of the State of Oregon, without regard to conflict-of-law rules. Any legal action arising out of or related to these Terms or the Website must be brought exclusively in the federal or state courts located in Oregon, and you consent to their jurisdiction.

15. Waiver and Severability

Our failure to enforce any provision of these Terms is not a waiver of it. If any provision is held invalid or unenforceable, it will be limited or eliminated to the minimum extent necessary and the remaining provisions will continue in full force. These Terms and the Privacy Policy are the entire agreement between you and Germinate regarding the Website, superseding prior versions.
